A legal battle is brewing in Uganda, and it's a doozy! Former Olympian and businessman William Frederick Blick is suing Samanga Solutions Ltd. for an unpaid commission of a whopping UGX 216.8 million (approximately $57,000). But here's where it gets controversial...
Blick claims he was engaged by Samanga to market their communication equipment to government security agencies, and his efforts allegedly led to a massive win for the company - a Uganda Police Force supply contract worth UGX 2.16 billion. He argues that a commission agreement was signed on June 6, 2017, entitling him to 10% of the police force's payments.
"I did my part," Blick stated in an affidavit. "I introduced their products, arranged meetings, and facilitated the procurement process. Yet, despite my efforts and Samanga receiving payment, my commission remains unpaid despite repeated demands."
However, Samanga Solutions, represented by Counsel Blair Kalivayo, denies any liability. They insist that no valid commission agreement was ever signed and that the alleged contract is a forgery.
"Mr. Blick's marketing efforts were unsuccessful, and the company secured the Uganda Police contract independently through a competitive bidding process long after his involvement," stated Gloria Kairaba, a company manager.
Kairaba added that the company was taken by surprise when they received a demand notice from Blick's lawyers in 2021, claiming entitlement to 10% of the proceeds.
Samanga maintains that Blick's claim has no legal basis and that they possess a strong defense against fraud.
In a recent ruling, Justice Susan Abinyo granted Samanga unconditional leave to defend the main suit, stating that the dispute over the commission agreement's validity raises serious factual and legal issues that warrant a full trial.
"The question of whether the commission agreement was executed is a matter for the court to investigate," Justice Abinyo said. She also noted that Samanga's counterclaim of fraud provides reasonable grounds for a bona fide defense.
The judge directed Samanga to file their defense within 10 days, with costs to be determined at the conclusion of the case.
This case highlights the growing tension in Uganda's procurement ecosystem, where business agents often claim commissions for facilitating deals between private firms and public institutions.
The main case, Civil Suit No. 922 of 2024, will now proceed to a full hearing, where the court will decide on the validity of Blick's commission agreement and whether Samanga must pay the disputed sum.
If the court rules in Blick's favor, it could set a significant precedent for enforcing commission-based contracts in Uganda's corporate and procurement sectors.
